1. Payment & Fee Protection Clause
The Client shall make all payments strictly as per the agreed schedule. Any delay in payment beyond the due date shall attract interest at a specified rate per month. The Company reserves the right to suspend or terminate advertising services without notice in case of non-payment, without prejudice to its right to recover outstanding dues through legal means.
2. Non-Exclusivity & Business Freedom Clause
This agreement shall be non-exclusive. The Company shall have full liberty to provide advertising services to other businesses, including competitors of the Client, without any restriction or liability.
3. Content Approval & Liability Clause
All advertising content provided by the Client shall be deemed legally compliant. The Client shall be solely responsible for any claims, disputes, intellectual property violations, defamation, or regulatory non-compliance arising from such content. The Company shall bear no liability and shall be fully indemnified by the Client.
4. Termination & Continuity Protection Clause
The Company reserves the unilateral right to terminate the agreement by providing written notice if the Client breaches any terms. Upon termination, all outstanding payments shall become immediately due and payable, and the Company shall not be liable for any losses, damages, or business disruption suffered by the Client.
5. Jurisdiction & Legal Safeguard Clause
Any dispute arising out of or relating to this agreement shall be subject exclusively to the jurisdiction of courts located in the Company's registered office location. The Company shall have the right to initiate legal proceedings for recovery, injunction, or damages in any competent court.
